LIBRARY SCHOOL ALUMNI ASSOCIATION
BYLAWS
Revised and approved by the LSAA Board, August 2006, and approved by the membership
at the annual meeting, June 24, 2007.
ARTICLE I: NAME
This association shall be called the University of Illinois Library School Alumni
Association at Urbana-Champaign, herein referred to as the Library School Alumni
Association (LSAA).
ARTICLE II: AFFILIATION
The LSAA shall be chartered by the University of Illinois Alumni Association,
herein referred to as the UIAA, as a Constituent Association.
ARTICLE III: OBJECTS
The objects of the LSAA shall be:
- to advance the interests of the profession of library and information science;
- to promote the interests of the University of Illinois Graduate School
of Library and Information Science at Urbana-Champaign (GSLIS);
- to foster a cooperative relationship between the GSLIS, the UIAA, and
the alumni of the School;
- to maintain communications among alumni.
ARTICLE IV: MEMBERSHIP
Section 1. Qualifications.
All persons who are graduates of the Graduate School of Library and Information
Science of the University of Illinois at Urbana-Champaign, members of the faculty,
friends or supporters, are eligible to become members of this Association. Enrollment
as a member of the UIAA is a requirement for membership in the Library School Alumni
Association.
Section 2. Types.
Annual and life memberships are available. Graduates of the University of Illinois
at Urbana-Champaign are eligible to be regular members, and non-graduates may be
associate members. Associate members, upon paying the required dues, shall enjoy all
the privileges of regular membership. No special categories of membership may be
created by this LSAA, except those authorized by the UIAA.
Section 3. Library School Alumni Association Life Members.
Persons completing life memberships in the LSAA prior to affiliation with the
UIAA shall remain life members of the LSAA with voting privileges, but may not also
be considered life members of the UIAA without payment of the required dues to the
UIAA.
ARTICLE V: DUES
Part of the dues paid to the UIAA shall be credited to the LSAA for use in
alumni activities. No additional dues shall be charged by the LSAA.
ARTICLE VI: THE EXECUTIVE BOARD
Section 1. Membership.
The executive board shall consist of the following officers: a president, a
vice-president/president elect, past-president, a secretary, a treasurer, and four
directors. Subject to the approval of the executive board, the Dean of the GSLIS
shall appoint: a member of the GSLIS faculty or staff to serve as liaison between
the GSLIS, the LSAA, and the UIAA office; and one or more students currently
enrolled in the GSLIS program to serve as student members. The Dean of the GSLIS,
and the GSLIS faculty-staff liaison, and the student members shall be members
ex officio of the executive board. The Dean of the GSLIS, the GSLIS faculty-staff
liaison are ex officio without vote; the student members shall be members ex officio
with vote.
Section 2. Qualifications.
Officers and directors must be members in good standing of the LSAA.
Section 3. Terms.
Officers and directors shall be elected for three-year terms with elections
held at the annual meeting. The term of office begins at the close of the annual
meeting. Officers and directors may be elected for no more than two consecutive
terms. The vice-president shall serve a one-year term as vice-president, a
one-year term as president, and a one-year term as immediate past president.
Section 4. Duties.
The officers and directors shall perform the duties usually incumbent upon the
positions to which they have been elected and additional duties as the Board may
direct.
Section 5. Authority.
The executive board shall have the power to carry on the regular business of
the LSAA between meetings.
Section 6. Meetings.
The executive board shall meet at least twice each fiscal year (July 1-June 30).
The executive board may utilize e-mail or other electronic means for discussion and
voting. Such actions must be subsequently ratified at the next board meeting and
recorded in the minutes.
Section 7.
A quorum shall consist of a simple majority of the voting members of the
executive board.
Section 8. Vacancy.
A vacancy in any position on the executive board may be filled until the next
annual meeting by vote of the remaining members of the board.
Section 9. Removal from office.
The officers and directors shall serve until they are replaced by a duly
constituted election, resign, or are voted out of office by a two-thirds majority
of the voting members of the Executive Board. A director’s absence from two
consecutive board meetings may be grounds for removal.
ARTICLE VII: COMMITTEES
Section 1.
Committees of LSAA shall be authorized by the Board of Directors.
The president of the LSAA shall appoint members to committees, as necessary,
to meet the needs of the organization.
ARTICLE VIII: ELECTIONS
Section 1. Nominating Committee.
The president of the LSAA shall appoint three members to serve on the nominating
committee. One member shall be the past president. The committee shall present a
single slate of officers and directors at the annual meeting to fill the terms
of the expiring offices/directors.
ARTICLE IX: MEETINGS
Section 1. Annual.
A regular business meeting of the LSAA shall be held annually.
Section 2. Special.
Special meetings of the LSAA may be called by the president upon request of the
executive board or of ten members. No business shall be transacted at such meetings
except that mentioned in the call.
Section 3. Notice.
Due notice of the time and place of meetings and the purpose of special meetings
shall be given to all members.
Section 4. Parliamentary Authority.
The rules contained in the current edition of Robert's Rules of Order Newly Revised
shall govern the LSAA in all cases to which they are applicable and in which they are
not inconsistent with these bylaws and any special rules of order adopted by the
LSAA.
ARTICLE X: QUORUM
Fifteen members shall constitute a quorum for the transaction of association
business. A simple majority of those members present and voting will carry the vote,
except as provided in Article XI: Amendments.
ARTICLE XI: AMENDMENTS
These Bylaws may be amended by a three-fourth vote of those present at any regular
meeting, provided the proposed amendment shall have been specifically set forth in
the call for such meeting.
